Terms and Conditions of Use

PLEASE READ THESE TERMS CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS, INCLUDING A MANDATORY ARBITRATION REQUIREMENT AND A CLASS-ACTION WAIVER IN SECTION 19, WHICH AFFECT HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED.

THE SERVICES ENABLE COMMUNICATION AND COORDINATION WITH HEALTH CARE PROVIDERS. THEY DO NOT REPLACE YOUR RELATIONSHIP WITH YOUR OWN PHYSICIAN. THE SERVICES ARE NOT FOR MEDICAL EMERGENCIES. IF YOU HAVE A MEDICAL EMERGENCY OR MENTAL HEALTH CRISIS, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.

Introduction

Medetone LLC, a New Jersey LLC, together with its affiliates (including Medetone LLC, a licensed pharmacy) (collectively, “Medetone,” “we,” “us,” or “our”), operates the website located at us.medetone.com and its associated applications and services (collectively, the “Services”). In these Terms and Conditions of Use (the “Terms”), “you” means the person using the Services.

Your access to and use of the Services is governed by these Terms, our Privacy Policy, our Consent to Telehealth, and all applicable laws. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services. We may present additional terms for specific parts of the Services, and you agree to be bound by those as well.

1. Services Overview, Availability, and Eligibility

Overview. The Services may include: (i) health and wellness information; (ii) a technology platform that enables you to communicate and coordinate with health care providers; (iii) pharmacy services; (iv) creation and maintenance of health records used in connection with provider consultations and pharmacy services; (v) administrative support for scheduling, payment processing, and order coordination; and (vi) at-home laboratory testing coordination, where offered.

Availability. The Services are offered only to persons located in the United States, and certain Services are available only in certain states. You will be notified of availability limitations applicable to your location. We make no representation that the Services are appropriate or available outside the United States.

Eligibility. By using the Services you represent that: you are 18 years of age or older (some Services may require you to be 21 or older); you are located in a state where the relevant Services are offered; and you agree to comply with these Terms. Meeting these requirements does not guarantee that you will be approved to receive any product or service; the Affiliated Medical Group and its providers, and we, reserve the right to decline or discontinue Services in their professional or business judgment.

2. The Relationship Between You, Medetone, and the Affiliated Medical Group

Corporate Practice of Medicine — core disclosure

Medetone does not provide medical services and does not practice medicine. Medetone provides a technology and administrative platform that enables you to access and communicate with licensed health care providers who are employed or contracted by an independent, physician-owned professional entity (the “Affiliated Medical Group”). The Affiliated Medical Group and its providers exercise independent professional judgment and are solely responsible for all clinical decisions, including whether to prescribe any medication.

By using the Services to consult with the Affiliated Medical Group or its providers, you do not enter into a provider-patient relationship with Medetone. Your provider-patient relationship is solely with the Affiliated Medical Group and its providers. Except for specific communications you receive from the Affiliated Medical Group or its providers, information made available through the Services is for general informational purposes only and is not medical advice.

Telehealth. Telehealth involves the delivery of health care services through electronic communications between a provider and a patient who are not in the same location, and may be used for assessment, diagnosis, treatment, follow-up, and education. The electronic systems used in the Services incorporate security measures designed to protect the privacy and integrity of your information. Please review our Consent to Telehealth, which is incorporated into these Terms by reference, for additional information about the benefits and risks of telehealth. Telehealth may not be appropriate for every condition, and your provider will advise you if in-person care is recommended.

3. Pharmacy Services

If a provider of the Affiliated Medical Group writes you a prescription through the Services, you may have it dispensed by Medetone LLC, by a partner pharmacy, or, for certain branded products, by a manufacturer-affiliated pharmacy (collectively, the “Pharmacies”), or you may direct it to a pharmacy of your choice. You consent to our transmitting your prescription and related information to the selected Pharmacy so that it may dispense and ship your medication. Prescriptions directed to a Pharmacy may be transferred among the Pharmacies where permitted by law. Medications dispensed by mail may not be shipped in child-resistant packaging; keep all medications out of the reach of children.

3.1 Branded GLP-1 and Manufacturer Self-Pay Programs (LillyDirect / NovoCare)

Certain branded products, including GLP-1 medications, may be made available through manufacturer direct-to-consumer self-pay programs (for example, the LillyDirect program for Eli Lilly products and the NovoCare program for Novo Nordisk products). If a provider of the Affiliated Medical Group prescribes such a product, your prescription may be transmitted to and dispensed by the manufacturer-affiliated or partner pharmacy that fulfils that program. Pricing is set by the program and may vary based on product, dose, and timing. We may collect payment in connection with your purchase on behalf of the dispensing pharmacy. Refunds, replacements, and disputes relating to such products are subject to the policies of the dispensing pharmacy and, where applicable, the manufacturer.

By purchasing such a product through the Services, you certify that:

  • you have been prescribed the product for a use consistent with its FDA-approved labeling;

  • you will not seek or accept reimbursement, directly or indirectly, from any insurer or any federal or state health care program for the product or related supplies, regardless of coverage;

  • you will not apply amounts you pay toward any insurance deductible or out-of-pocket maximum, and, if you are enrolled in Medicare Part D, will not count any such amount toward your true out-of-pocket (“TrOOP”) costs;

  • you are purchasing the product for your own use and will not resell, repackage, reformulate, trade, export, or distribute it; and

  • you are a US resident and are 18 years of age or older.

3.2 At-Home Testing (where offered)

At-home sample collection and laboratory services, where offered, may require an order from a licensed provider. Testing is intended for informational and wellness purposes and is not a substitute for diagnostic evaluation by your own provider. You do not establish a provider-patient relationship with any reviewing provider solely by requesting testing. You are responsible for sharing your results with your own health care provider for interpretation.

4. Your Financial Responsibility; No Insurance (Cash-Pay)

By using the Services, you are choosing to obtain products and services on a cash-pay basis, outside of any commercial health insurance plan and outside of any federal or state health care program. You are solely responsible for all amounts due. Neither Medetone nor the Affiliated Medical Group accepts commercial insurance, is in-network with any plan, or is enrolled with Medicare, Medicaid, or any other federal or state health care program.

By accessing or using the Services, you agree that: (1) you will not seek or accept reimbursement, directly or indirectly, from any insurer or any federal or state health care program for any product or service obtained through the Services; (2) neither you nor any party will submit a claim to any federal or state health care program for such products or services; and (3) you will not apply amounts you pay toward any insurance deductible, out-of-pocket maximum, or, if applicable, Medicare Part D TrOOP costs.

5. Payments and Billing

You agree to pay all fees presented to you at checkout. Prices may change in our discretion. By submitting your payment information, you authorise us, our affiliates, or our third-party payment processors to charge the amounts due, including recurring fees for any subscription you select.

How payments are allocated (billing-agent disclosure)

The amounts you pay through the Services may include (a) fees for medical services charged by the Affiliated Medical Group, and (b) fees for pharmacy services charged by the Pharmacies. Where this is the case, Medetone collects those amounts solely as a billing and collection agent on behalf of the Affiliated Medical Group and the Pharmacies, and remits them accordingly. Fees for any services not provided by Medetone, the Affiliated Medical Group, or the Pharmacies are not included in amounts collected by Medetone and may be billed to you separately.

Subscription billing. Certain Services are offered on an automatically renewing subscription basis. Your payment method will be charged at the intervals disclosed at checkout until you cancel in accordance with these Terms. Except as required by law or as stated in any applicable refund policy, fees are non-refundable. If you are charged and are subsequently found unsuitable for treatment, or your request is declined, you will be refunded for the applicable item.

6. Membership Program Terms

Where offered, the Medetone membership program (the “Program”) provides access to routine telehealth care, provider messaging, and related support for an automatically recurring fee. The Program is not health insurance, does not satisfy any insurance mandate, and does not replace your relationship with your own providers. The Program is not an emergency or on-call service.

Onboarding. To participate, you must complete a telehealth assessment and be evaluated by a provider of the Affiliated Medical Group who, in their independent professional judgment, determines whether the Program is clinically appropriate for you. If no medication or treatment is ever prescribed, you will be refunded the applicable amount and will not be enrolled in the recurring Program. If treatment is prescribed, your enrolment and recurring billing begin as disclosed at checkout.

What the Program includes. The Program may include a defined number of provider consultations per year, secure messaging with your care team between consultations, an onboarding curriculum, and laboratory testing where ordered. Additional consultations or tests beyond those included may be subject to additional fees disclosed to you. Medication may or may not be included depending on the plan you select.

You will be charged the recurring Program fee on the schedule disclosed at checkout even if you do not use all of the included services, and even if you do not request or receive medication, unless and until you cancel. We may offer a one-time introductory price governed by the terms disclosed at checkout.

Cancellation. You may cancel through your account or by contacting us. To avoid the next charge, you must cancel at least 72 hours before your renewal date. After cancellation you will continue to have access through the end of the billing period for which you have paid, after which Program services (including prescriptions) will end. We recommend speaking with your provider before discontinuing any treatment. Neither Medetone nor the Affiliated Medical Group guarantees the continued availability of the Program, which may be modified or discontinued on reasonable notice.

7. Registration and Account Security

You may need to create an account to use certain Services. You agree to provide accurate and complete information and to keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorised use. Do not share your account, create multiple accounts, or use another person’s account. Use the Services’ mobile applications only on devices running an unmodified, manufacturer-approved operating system.

8. Privacy

Your use of the Services is subject to our Privacy Policy and, where applicable, our Notice of Privacy Practices, which describe how your information is collected, used, and disclosed and which are incorporated into these Terms by reference. Health information you provide in connection with clinical services may be handled by the Affiliated Medical Group and the Pharmacies in accordance with applicable law.

9. Ownership and License to Use the Services

As between you and Medetone, Medetone (and its licensors) owns all right, title, and interest in the Services and their content, features, and functionality, including all related intellectual property and trademarks. We grant you a personal, limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved. You may not use any Medetone trademark without our prior written permission.

10. User Content

Except as provided in our Privacy Policy or required by applicable health-privacy laws, any information you submit through the Services (other than protected health information governed by those laws) may be treated as non-confidential. You grant Medetone and its affiliated providers and practices a transferable, sublicensable license to use such information to provide, improve, and market the Services and to conduct research and analytics, consistent with applicable law and our Privacy Policy. Content you post in any public forum may be viewed and used by others.

11. Restrictions on Use

You agree not to: violate any law; impersonate any person or misrepresent your affiliation; reverse engineer or interfere with the Services; use bots, scrapers, or other automated means without our permission; introduce malware; infringe intellectual property or other rights; resell or commercially exploit the Services; harass or harm any provider or other user; circumvent security measures; or use the Services to develop a competing product. You also agree not to harass, threaten, or abuse any provider who furnishes services through the Affiliated Medical Group.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MEDETONE AND ITS AFFILIATES, INCLUDING THE AFFILIATED MEDICAL GROUP AND THE PHARMACIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. YOU USE THE SERVICES AT YOUR OWN RISK.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDETONE AND ITS RELATED PERSONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES. MEDETONE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100) OR (II) THE AMOUNTS YOU PAID FOR ACCESSING THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless Medetone, its affiliates, the Affiliated Medical Group, the Pharmacies, and their respective officers, directors, employees, contractors, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services in an unauthorised manner, your violation of law or these Terms, or your negligence or willful misconduct.

15. Third-Party Links and Services

The Services may contain links to or features operated by third parties. We are not responsible for third-party content, products, or services and provide such links only as a convenience. Your use of third-party services is at your own risk and subject to their terms.

16. Changes to the Terms and the Services

We may modify these Terms at any time in our discretion. Changes are effective on posting unless applicable law requires additional notice. Your continued use of the Services after changes are posted constitutes acceptance. We may also modify, suspend, or discontinue all or part of the Services at any time, and will not be liable to you for doing so.

17. Termination

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) will survive. After termination, the Affiliated Medical Group will continue to provide access to your health records and any legally required continuing care.

18. Governing Law; Severability

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to the arbitration provisions in Section 19, the exclusive venue for disputes not subject to arbitration is the state and federal courts located in [INSERT COUNTY/STATE], and you consent to their jurisdiction. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.

19. Dispute Resolution: Binding Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

Informal resolution first. Before initiating arbitration, the parties agree to attempt to resolve any dispute informally for at least 60 days after written notice of the dispute is provided to the other party (to us at [INSERT NOTICE EMAIL/ADDRESS]).

Binding arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by [INSERT ARBITRATION PROVIDER] under its applicable consumer rules, except for the class-action waiver below. The Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitration will take place in the US county where you reside, or as otherwise agreed. The arbitrator may award the same individual relief a court could.

Class-action waiver. To the fullest extent permitted by law, arbitration will be conducted only on an individual basis and not as a class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims without the parties’ consent.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek to protect its intellectual property in court. 

30-day opt-out. You may opt out of this arbitration provision by sending written notice to [INSERT OPT-OUT ADDRESS/EMAIL] within 30 days of [INSERT EFFECTIVE DATE] or your first use of the Services, whichever is later. If you opt out, neither party will be bound by the arbitration provision.

20. Communications by Text and Email

By providing your mobile number or opting in, you consent to receive text messages relating to your account and the Services, which may include order, shipping, and provider messages, and, where you have opted in, marketing messages. Message frequency varies and message and data rates may apply. You may opt out of SMS at any time by replying STOP. Email and SMS are not encrypted and may be intercepted; by communicating with us through these channels you accept that risk. Access to the Services is not conditioned on consent to marketing messages.

21. Miscellaneous

No waiver of any term is a continuing waiver. These Terms create no partnership, joint venture, employment, or agency relationship between you and us. You may not assign your rights under these Terms; we may assign ours, including in connection with a merger, acquisition, or sale of assets. These Terms, together with the documents incorporated by reference, are the entire agreement between you and us regarding the Services. Section headings are for convenience only.

23. Notice Regarding Open Payments (Sunshine Act)

For informational purposes, the federal Open Payments program publishes certain payments and transfers of value from manufacturers of drugs and devices to physicians and teaching hospitals. You may search this database at the Centers for Medicare & Medicaid Services Open Payments website.
